Who we are and what these terms cover

Relay Sentry is a Shopify app made by Dotarus LLC, based in Oklahoma, USA ("we", "us"). It connects a Shopify store to the Fruugo marketplace: it sends your products to Fruugo, brings Fruugo orders into Shopify, and sends shipment tracking back to Fruugo.

These terms apply when you install or use Relay Sentry, and to the relaysentry.app website. By installing the app you agree to them on behalf of the store you install it on. If you don't agree, please don't install the app, or uninstall it.

How we handle data is described in our Privacy Policy, which is part of these terms.

What you need

• A Shopify store, and the permission to install apps on it.
• An approved Fruugo retailer account. Relay Sentry is independent and is not run by, or affiliated with, Fruugo or Shopify. Your selling on Fruugo is covered by the retailer agreement you have with Fruugo, and Fruugo's own commission and fees are charged by Fruugo, not by us.
• To keep your Fruugo login and your Shopify account secure, and to tell us if you think someone else has used them.

Plans and billing

Relay Sentry has a free plan and two paid plans: Growth at US$29 and Scale at US$99, each charged every 30 days. Paid plans start with a 14-day free trial the first time you choose one. All charges are made by Shopify and appear on your Shopify bill; we never take card details ourselves. Prices exclude any taxes Shopify adds.

Each plan includes a monthly number of Fruugo orders (Free 50, Growth 300, Scale 1,500). This is a soft limit: if you go over it, Relay Sentry keeps importing your orders and tells you it's time to upgrade. It never stops orders to make you upgrade.

You can change plan or go back to Free at any time from the app's Settings page, or stop paying by uninstalling the app. When you go back to Free from Settings, we ask Shopify to credit the unused part of your current billing period. Apart from that, fees already paid are not refunded, except where the law requires it.

If we change the price of a plan, we'll tell you in advance. Shopify asks you to approve a new price before it's charged.

AI features and credits

Some features use AI: the Relay AI assistant, store reports, and suggestions such as rewritten titles and descriptions, product matches and sale ideas. Some of these use AI credits. Every store gets 50 free credits once. Growth includes 100 credits a month and Scale 300; monthly credits don't carry over to the next month. On a paid plan you can use extra credits at US$0.01 each, charged through Shopify, up to US$20 (Growth) or US$50 (Scale) per 30 days. Credits are only used when a feature gives you a finished result. Credits have no cash value and can't be transferred.

AI can be wrong. Check a suggestion before you use it. Relay Sentry only changes your Shopify products when you press a button such as "Apply to Shopify", and you are responsible for what you choose to publish.

Your responsibilities

You stay responsible for your store and what you sell. In particular:

• Your products, listings, prices, stock levels and descriptions are accurate and lawful.
• You meet the rules that apply to selling in each country you sell to, including product safety information (such as GPSR), restricted and prohibited products, and Fruugo's own policies.
• You fulfil, ship, cancel and refund your orders, and deal with your customers.
• Your taxes, including VAT and sales tax.
• Settings you choose in the app, such as price adjustments, sales and exchange rates.

Relay Sentry helps with these by checking listings and warning you, but its checks can't see everything, and passing them doesn't mean a product is allowed or compliant. Fruugo decides whether your products are listed and approved.

Fair use

You agree not to:

• Use Relay Sentry to sell anything illegal, or to break Shopify's or Fruugo's rules.
• Try to get into another store's data, or into parts of the app you aren't meant to use.
• Disrupt the app, overload it on purpose, or get around its limits.
• Copy, resell or reverse-engineer the app, except where the law allows it.

We may suspend or end your access if you break these rules, after warning you where that's reasonable.

Service availability

We work to keep Relay Sentry running and your orders and products in sync, and the app alerts our team when something gets stuck. But it depends on Shopify and Fruugo, whose systems and rules can change or go down, and we can't promise it will always be available, error-free, or bring you any particular amount of sales. We may change, add or remove features over time, and we'll tell you in advance before removing anything important you rely on.

Ownership

Your product information, images and store data stay yours. You let us use them only to run Relay Sentry for you, for example to send your products to Fruugo. The app itself, its design and its content belong to Dotarus LLC.

If you send us feedback or ideas, we may use them to improve the app without owing you anything for them.

Ending your use

You can stop using Relay Sentry at any time by uninstalling it from Shopify. When you do, Shopify ends any paid plan, and your store's data is deleted as described in the Privacy Policy. Uninstalling doesn't take your products off Fruugo, and once it's uninstalled Relay Sentry can no longer update their stock or prices there. So before you uninstall, take your products off sale on Fruugo or ask Fruugo to remove them, and make sure any open Fruugo orders are handled.

Disclaimers and limits on liability

Relay Sentry is provided "as is" and "as available". As far as the law allows, we don't give any promises about it beyond what these terms say, including promises that it's fit for a particular purpose.

As far as the law allows, we aren't liable for indirect or consequential losses, such as lost profits, lost sales, lost data, or penalties or fees charged by Fruugo, Shopify or anyone else. Our total liability to you for anything related to Relay Sentry is limited to the amount you paid us in the 12 months before the claim.

Nothing in these terms limits liability that the law doesn't allow to be limited, or any rights you have as a consumer that can't be taken away.

You agree to cover our reasonable costs if a third party makes a claim against us because of the products you sell, your listings, or your breaking these terms.

Governing law

These terms are governed by the laws of Oklahoma, USA, without regard to its conflict-of-law rules. Any dispute will be handled by the courts of Oklahoma, unless the law where you are says otherwise.

Changes to these terms

We may update these terms as the app changes. We'll change the "last updated" date above, and tell you in the app before an important change takes effect. If you keep using Relay Sentry after that, the new terms apply.
